1. Introduction

These Terms & Conditions ("Terms") govern the provision of real estate platform customization services ("Services") by MMO IT Solutions ("we", "us", "our") to you ("Client", "you", "your").

By submitting a customization request or using our Services, you agree to be bound by these Terms.

2. Service Description

We provide customized real estate platform solutions including:

• Branded website with your company information, logo, and colors
• Admin panel for managing property listings and inquiries
• Email notification system for new inquiries
• Initial setup and configuration
• Basic training on using the admin panel

Additional services and features may be available upon request and will be subject to separate pricing.

3. Data Privacy & Usage

3.1 Data Ownership

All client data, property listings, inquiry information, and customer data entered into your platform remains your exclusive property. We do not claim any ownership rights to your content or data.

3.2 Our Use of Your Data

We will NOT:

• Use your client information, property listings, or inquiry data for our own purposes without your explicit written consent
• Contact your customers or leads for any reason
• Share, sell, or distribute your data to third parties
• Use your data for marketing or promotional purposes

3.3 Data We Collect

We collect data necessary to provide the Services, including:

• Business information provided in the customization request form
• Technical data required for platform setup and maintenance
• Usage data for system monitoring and improvement

3.4 Optional Appraisal Services

With your explicit consent only, we may offer to use your property data to provide appraisal services. This is entirely optional and requires:

• Direct communication with you to request permission
• Your written consent before any data is used
• Clear disclosure of how the data will be used
• The right to withdraw consent at any time

3.5 Data Security

We implement industry-standard security measures to protect your data. However, no system is completely secure, and we cannot guarantee absolute security.

3.6 Data Retention

We retain your data for as long as necessary to provide the Services. Upon request, we will delete your data in accordance with applicable law, subject to backup and legal retention requirements.

4. Client Responsibilities

You are responsible for:

• Providing accurate and complete information in the customization request form
• Supplying necessary assets (logo, images, content) in appropriate formats
• Providing access to domain registration or hosting accounts if required
• Ensuring you have the legal right to use all content and assets provided
• Complying with all applicable laws and regulations in your use of the platform
• Maintaining the confidentiality of your admin account credentials

5. Setup Timeline

We aim to complete initial setup within 1-2 hours after receiving your complete customization request. However, this is a best-effort timeline and not a guarantee.

We will contact you within 24 hours of receiving your request to confirm details and discuss next steps.

Delays may occur due to:

• Incomplete or unclear information provided
• Technical issues beyond our control
• Domain or hosting configuration requirements
• Complex customization requests

6. Payment Terms

Pricing is determined on a custom quote basis depending on your specific requirements.

Payment terms will be provided in your custom quote and may include:

• One-time setup fee
• Monthly or annual hosting/maintenance fees
• Additional charges for extra features or services

Payment is required before launch unless otherwise agreed in writing.

7. Ownership & Licensing

7.1 Your Content

You retain all ownership rights to content, data, logos, and materials you provide or create within the platform.

7.2 Platform Code

We retain ownership of the underlying platform code, software, and infrastructure. You are granted a license to use the platform for your business purposes.

7.3 License Grant

Upon full payment, you receive a non-exclusive, non-transferable license to use the platform for the duration of your service agreement.

8. Support & Maintenance

Support scope will be defined in your service agreement and may include:

• Technical support for platform functionality
• Bug fixes and security updates
• Platform updates and improvements

Major customizations, design changes, or feature additions may incur additional charges.

9. Limitation of Liability

To the maximum extent permitted by law:

• We provide the Services "as is" without warranties of any kind
• We are not liable for any indirect, incidental, or consequential damages
• Our total liability shall not exceed the amount paid by you for the Services in the past 12 months
• We are not responsible for third-party services, hosting providers, or domain registrars

10. Termination

Either party may terminate the service agreement with written notice as specified in your service agreement.

Upon termination:

• You may export your data from the platform
• Access to the platform will be discontinued after the service period ends
• Fees paid are generally non-refundable unless otherwise agreed

11. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to active clients via email.

Continued use of the Services after changes constitutes acceptance of the updated Terms.

12. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines.

Any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of the Philippines.

13. Privacy & Data Protection

We are committed to protecting your privacy and complying with applicable data protection laws.
